TERMS AND SERVICES (TERMS OF USE)

These Terms and Services ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Wide Wings Consultancy DMCC ("Company", "we", "us", or "our"), a company incorporated under the laws of the United Arab Emirates (Dubai Multi Commodities Centre), operating under commercial license number DMCC-870296, with its registered office at:

Unit No: BA1151, DMCC Business Centre, Level No 1, Jewellery & Gemplex 3, Dubai, United Arab Emirates.

The Company operates the Premier International Real Estate Investors Association (PIREIA) website and platform located at www.pireia.com ("Platform").

By accessing, browsing, registering on, or using the Platform, or participating in any events, roadshows, pitch sessions, or information programs organized by PIREIA, you acknowledge that you have read, understood, and irrevocably agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease all access to and use of the Platform and Services.

1. SCOPE OF SERVICES & LICENSED ACTIVITY

1.1. Commercial Information Services: The Company operates strictly under its registered DMCC business activity: Commercial Information Services. The Platform functions as an international business network, media infrastructure, and information distribution vehicle connecting real estate developers/issuers with accredited high-net-worth investors, family offices, and wealth advisors.

1.2. No Regulated Financial Activity: The Company, the Platform, and PIREIA are NOT registered broker-dealers, investment advisors, financial institutions, fund managers, placement agents, or legal/tax advisory firms under the laws of the UAE, the DFSA, the SCA, the US SEC, or any other international jurisdiction.

1.3. No Offer or Solicitation: Content, materials, deal digests, pitch presentations, webinars, and market reviews provided on or through the Platform do NOT constitute an offer to sell, a solicitation of an offer to buy, or a recommendation for any security, financial instrument, investment project, or real estate asset.

2. ACCREDITATION & USER REPRESENTATIONS

By using the Platform or engaging in PIREIA activities, you represent and warrant that:

2.1. You are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into binding agreements.

2.2. If you are accessing project documentation, private deal summaries, or attending VIP investor events, you qualify as an Accredited Investor, Qualified Purchaser, High-Net-Worth Individual (HNWI), or institutional representative as defined under the laws of your country of residence.

2.3. You are utilizing the Platform for professional networking, institutional deal discovery, or marketing expansion, and you accept sole legal and financial responsibility for verifying any business transaction.

2.4. You are not located in, a national of, or acting on behalf of any person or entity subject to international economic sanctions administered by the UAE, the UN, OFAC, the EU, or the UK.

3. INDEPENDENT DUE DILIGENCE & INVESTMENT RISKS

3.1. Sole Responsibility: You acknowledge and agree that any decision to invest capital, enter into a joint venture, or acquire real estate assets presented through PIREIA information channels is made at your sole discretion and risk.

3.2. Requirement for Independent Advice: The Company explicitly advises all Users to conduct independent technical, financial, accounting, legal, and tax due diligence through qualified professionals prior to executing cross-border transactions.

3.3. No Guarantee of Performance: Past performance metrics, targeted yields, capitalization rates, projected Internal Rates of Return (IRR), and financial projections displayed in promotional materials or presentations are forward-looking estimates only and do not guarantee future results. Investment in real estate involves significant risk of loss, including the potential loss of principal.

4. INTELLECTUAL PROPERTY RIGHTS

4.1. Ownership: All content on the Platform—including logos, trademarks, text, graphics, analytical reports, deal presentation structures, software code, and marketing collateral—is the exclusive intellectual property of Wide Wings Consultancy DMCC or its content licensors and is protected under applicable UAE and international copyright, trademark, and trade secret laws.

4.2. Limited License: Users are granted a limited, non-exclusive, non-transferable, revocable license to access and view Platform materials strictly for personal, non-commercial, or internal corporate evaluation purposes.

4.3. Restrictions: You shall not copy, reproduce, distribute, modify, reverse engineer, create derivative works of, broadcast, or commercially exploit any Platform content without express prior written permission from the Company.

5. EVENT PARTICIPATION & ROADSHOW TERMS

5.1. Event Admission: Registration for PIREIA offline gatherings, investor breakfasts, VIP dinners, or regional roadshows is subject to confirmation, accreditation check, and venue capacity limits. The Company reserves the right to decline or revoke entry to any individual at its sole discretion.

5.2. Event Content: Presentations delivered by third-party real estate issuers, guest speakers, or developers at PIREIA events reflect the views of those respective parties and do not constitute endorsement or validation by Wide Wings Consultancy DMCC.

5.3. Media Consent: By attending physical PIREIA events, you grant the Company the right to photograph, record, and utilize your image or voice in promotional marketing materials across association channels, unless explicitly requested otherwise in writing prior to the event.

6. CONFIDENTIALITY & PROPRIETARY INFORMATION

6.1. Confidential Deal Flow: Certain information made available to Users via password-protected portals, deal digests, or private pitch sessions may be designated as confidential ("Confidential Information").

6.2. Non-Disclosure Obligations: You agree to maintain strict confidentiality regarding all non-public project financials, issuer structures, investor contact details, and association database materials. You shall not disclose, circulate, or leak Confidential Information to unauthorized third parties or media entities.

7. LIMITATION OF LIABILITY & DISCLAIMERS

7.1. "AS IS" Basis: The Platform, all services, and content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

7.2. Exclusion of Liability: To the maximum extent permitted under applicable UAE law, Wide Wings Consultancy DMCC, its directors, officers, employees, founder(s), affiliates, or agents shall NOT be liable for any direct, indirect, incidental, consequential, special, or punitive damages—including lost profits, loss of capital, data corruption, or business interruption—arising out of or in connection with:

• Your access to, use of, or inability to use the Platform or Services;
• Any investment, contract, or transaction entered into with real estate developers, issuers, or co-investors met through PIREIA;
• Reliance on any information, analytical data, market reports, or project claims displayed on the Platform;
• Technical failures, security breaches, unauthorized access, or transmission viruses.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Wide Wings Consultancy DMCC, its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or legal fees arising out of or relating to:

• Your breach of these Terms;
• Your violation of any applicable law, regulation, or third-party rights;
• Any financial transaction, investment decision, or dispute between you and any third-party issuer, developer, or investor encountered through the Platform.

9. THIRD-PARTY LINKS & PARTNER OFFERINGS

The Platform may contain links to third-party websites, developer landing pages, or external analytical tools. The Company exercises no control over third-party content, legal compliance, or privacy policies and accepts no responsibility or liability for third-party practices or resources.

10. TERMINATION & SUSPENSION OF ACCESS

The Company reserves the right, without prior notice and at its sole discretion, to modify, suspend, or terminate the Platform or restrict your access to all or part of the Services, accounts, or event registrations for any reason, including suspected breach of these Terms, non-compliance with investor accreditation, or illegal activity.

11. GOVERNING LAW AND JURISDICTION

11.1. Governing Law: These Terms, their subject matter, and their formation shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai.

11.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by the Courts of Dubai (or, where applicable, the DIFC Courts), which shall hold exclusive jurisdiction.

12. SEVERABILITY & WAIVER

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. No failure or delay by the Company in exercising any right under these Terms shall constitute a waiver of that right.

13. AMENDMENTS TO TERMS

The Company reserves the right to amend, update, or revise these Terms at any time to reflect legal, regulatory, or operational updates. Modified Terms will be posted on the Platform with an updated "Last Updated" date. Your continued use of the Platform after such updates constitutes full acceptance of the revised Terms.
